On CL5, memory limits are disabled by default. You can enable them by doing
      lvectl ubc enable --save

Everything else, but this message is fine:
Error! The module r8168 8.015.00 is not currently installed.
This module is not currently ACTIVE for kernel 2.6.18-194.11.3.el5 (x86_64).

This message -- I am not sure. Did you have a custom /build from source module for r8168?

I bought a plain centos 5 64bit server, installed cpanel on it and then trying to convert this to cloudlinux but still it is failing.

root@server [~]# lvectl ubc enable --save
error: lve interface is not available
        root@server [~]#

The fastest way to get it working: submit a ticket to helpdesk.cloudlinux.com -- and we will help you.

This particular message means that you are not running our kernel. Did you reboot already? if you did, what is the output of:
          uname -a?
what is the content of /boot/grub/grub.conf?
